TERMS OF SERVICE

1. AGREEMENT AND SCOPE

These Terms of Service (“Terms”) govern your access to and use of the LanguageTicket website, online platform, applications, forms, lessons, courses, teacher services and related educational services. By creating an account, submitting a booking, paying for a service, or using the service, you agree to these Terms. If you do not agree, do not use the service.

2. PROVIDER AND CONTRACTING INFORMATION

The service provider is Language Ticket LLC, registered in the Arab Republic of Egypt. The commercial registration number, tax registration number, registered office and other legally required supplier information applicable to a transaction will be provided in the relevant pre-contract information, invoice, order confirmation or contracting record. 3. DEFINITIONS

“Company” means Language Ticket LLC. “Platform” means the LanguageTicket website, software, applications and online systems. “User” means a person accessing or using the Platform. “Student” means a person receiving or purchasing educational services. “Teacher” means an educator engaged or made available to provide lessons through the service. “Service” includes courses, one-to-one lessons, group learning, assessments, demos and related educational support.

4. ELIGIBILITY AND MINORS

Users must have legal capacity to enter the applicable agreement. A parent or legal guardian may enter an agreement on behalf of a minor and is responsible for the minor’s authorized use, payment obligations and compliance with these Terms. Where applicable, the parent or guardian consents to the processing necessary to provide the service.

5. ACCOUNTS AND INFORMATION

You must provide accurate and current information and keep account credentials secure. You must not impersonate another person, share credentials in a way that compromises the account, or knowingly submit false information. Notify us promptly of suspected unauthorized access.

6. EDUCATIONAL SERVICES, TEACHER MATCHING AND INDEPENDENT CONTRACTORS

LanguageTicket provides an online environment for language-learning services and may match students with teachers based on stated goals, level, availability and other relevant information. Unless an order expressly states otherwise, teachers who provide lessons through the Platform are independent contractors and are not employees, partners, agents, joint venturers or representatives of LanguageTicket.

Their teaching methods, opinions, examples, explanations, advice, communications, conduct and other statements are their own. We may perform onboarding, profile review, identity or qualification checks, moderation, scheduling or other reasonable controls, but no such process makes a teacher an employee or guarantees the accuracy, completeness, legality, suitability or quality of every statement or action. Teacher availability and matching may change.

We may replace a teacher or modify a course where reasonably necessary, subject to the purchased service and applicable law.

7. NO LEARNING GUARANTEE

We provide educational instruction, materials and support, but neither LanguageTicket nor any teacher guarantees a particular language level, examination result, fluency outcome, employment outcome, academic result, certification, grade, admission result or timeframe. Learning outcomes depend on factors including attendance, practice, starting level, effort, learning objectives, teacher-student fit and continuity.

Statements by a teacher about likely or possible results are educational opinions and do not create a guarantee unless expressly included as a written contractual commitment by LanguageTicket and permitted by applicable law.

8. BOOKINGS, ATTENDANCE AND CANCELLATIONS

Lesson dates and times are confirmed through the applicable booking system or written confirmation. A student should attend on time and use the required equipment and stable internet connection. Cancellation or rescheduling rules applicable to a particular booking are those displayed before purchase or in the booking confirmation. Nothing in those rules removes a mandatory right under Egyptian law.

9. PRICES, TAXES AND CURRENCY

Prices and applicable charges are displayed before purchase. Where required by law, taxes and mandatory charges are included or clearly identified. Checkout may be processed in Egyptian pounds (EGP), even where an indicative foreign-currency display is shown. Exchange-rate differences or bank/card charges outside our control are not controlled by LanguageTicket.

10. PAYMENTS AND INVOICES

Payments may be processed by third-party payment providers, including card, wallet or installment providers made available at checkout. You authorize the selected provider to process the transaction. LanguageTicket will provide transaction or invoice information as required by applicable law. If an installment provider is used, its separate financing terms also apply.

11. DISTANCE CONTRACTING AND CONFIRMATION

For contracts concluded at a distance, LanguageTicket will provide the legally required material information before contracting and will send or make available the contractual information and confirmation required by applicable law. The user should review the service, price, schedule, cancellation and refund terms before confirming the order.

12. STATUTORY WITHDRAWAL AND CONSUMER RIGHTS

Nothing in these Terms limits rights that cannot lawfully be waived. For distance contracts covered by Egyptian Consumer Protection Law No. 181 of 2018, applicable statutory withdrawal rights, including the rules concerning a fourteen-day withdrawal period for services and the statutory exceptions, will apply. In particular, the law provides that the withdrawal right is lost where the consumer has fully benefited from the service before the withdrawal period expires.

Mandatory consumer remedies and complaint rights remain unaffected.

13. REFUNDS AND CANCELLATIONS

Refunds are governed by the Refund Policy and the purchase-specific terms shown before payment. Where a statutory refund or withdrawal right applies, the statutory right prevails. For voluntary refunds outside statutory rights, eligibility may depend on whether lessons or services have been used, the timing of the request, the booking type and any specific purchase terms. We will not impose a term that unlawfully deprives a consumer of a mandatory right.

14. ACCEPTABLE USE, SAFETY AND INTERPERSONAL CONDUCT

You must use the Platform lawfully and respectfully. You must not harass, intimidate, threaten, verbally abuse, discriminate against, stalk, sexually harass, exploit, defame or physically threaten another user or teacher, or misuse another person’s personal information. The same standards apply to teachers when interacting with students.

LanguageTicket is not a party to, supervisor of, or guarantor of ordinary person-to-person communications between teachers and students, including communications during or outside a lesson, and, to the maximum extent permitted by applicable law, is not responsible for a teacher’s or student’s statements, promises, opinions, misconduct, negligence, omissions or other acts toward another person except to the extent liability is imposed on LanguageTicket by non-waivable law.

Users and teachers are responsible for their own words and actions. We may investigate reports, remove content, restrict contact, suspend or terminate accounts, replace teachers, cancel bookings or take other protective measures when reasonably necessary. Nothing in this section prevents a person from contacting police, emergency services, regulators or other competent authorities where appropriate, and nothing excludes any liability or remedy that cannot legally be excluded.

15. INTELLECTUAL PROPERTY

LanguageTicket’s name, trademarks, logos, software, curriculum, course structures, lesson materials, designs, text, graphics, videos and other content are owned by LanguageTicket or its licensors unless stated otherwise. We grant you a limited, non-exclusive, non-transferable right to use authorized materials solely for your personal educational use. No ownership is transferred.

16. USER CONTENT AND FEEDBACK

If you submit reviews, comments, suggestions or other content, you retain rights you already hold in that content. You grant LanguageTicket a non-exclusive, worldwide, royalty-free license to use such content to operate, improve and promote the service, subject to applicable law and the Privacy Policy. Do not submit confidential information belonging to another person.

17. THIRD-PARTY SERVICES

Payment processors, communications providers, scheduling tools, hosting providers and other third parties may be integrated into the service. Their own terms and policies may apply. LanguageTicket is not responsible for independent third-party systems to the extent a failure is outside our reasonable control.

18. AVAILABILITY AND FORCE MAJEURE

We aim to keep the Platform available but do not guarantee uninterrupted or error-free operation. We are not responsible for delay or interruption caused by events beyond reasonable control, including internet or telecommunications failures, payment-provider outages, cyber incidents, government action, natural events or other force-majeure circumstances, subject to mandatory law.

19. ALLOCATION OF RESPONSIBILITY AND LIABILITY

To the maximum extent permitted by applicable law, LanguageTicket is not responsible for indirect, incidental, special or consequential losses, loss of opportunity, lost learning progress, loss arising from teacher-student interactions, or loss caused by a user’s or teacher’s conduct.

This includes, to the extent legally permitted, statements made by teachers or students, inaccurate or unsuitable teaching information, personal opinions, promises not authorized by LanguageTicket, verbal abuse, threats, harassment, discrimination, defamation, sexual misconduct, stalking, fraud, property damage or physical acts committed by another user or teacher, whether during a lesson, through Platform communications or outside the Platform.

Teachers and students remain responsible for their own conduct and for complying with applicable law. LanguageTicket does not guarantee the safety, compatibility, truthfulness, availability, behavior or professional judgment of any individual participant, although we may take reasonable platform-level measures when reports or risks come to our attention.

This exclusion does not apply to liability that LanguageTicket cannot lawfully exclude or limit, including any mandatory consumer remedy, statutory data-protection obligation, or other non-waivable right under applicable law. Where the law permits a limitation of monetary liability, the limitation will be applied only to the fullest extent legally permitted and only after giving effect to mandatory consumer and other protected rights.

20. SUSPENSION AND TERMINATION

We may suspend or terminate access where reasonably necessary for security, non-payment, unlawful activity, serious misuse or material breach of these Terms, subject to applicable law. Where appropriate, we will provide notice or an opportunity to remedy the breach. Termination does not remove obligations that by their nature survive termination.

21. CHANGES TO SERVICES AND TERMS

We may modify features, courses, teachers, prices and Platform functionality when reasonably necessary. We may update these Terms from time to time. The updated version becomes effective when published unless a different effective date is stated or applicable law requires notice or consent.

22. COMPLAINTS AND DISPUTE RESOLUTION

Please contact [email protected] first so we can attempt to resolve complaints promptly. Egyptian consumers retain any statutory right to submit complaints to the Consumer Protection Agency or seek judicial remedies. No contractual provision in these Terms prevents a consumer from exercising a mandatory statutory right.

23. GOVERNING LAW, INTERNATIONAL CUSTOMERS AND MANDATORY LOCAL RIGHTS

These Terms are governed by the laws of the Arab Republic of Egypt, because LanguageTicket is established and operates from Egypt, subject to any mandatory law that applies to a consumer or other user in the country or jurisdiction where that person is located.

We intend the service to be offered internationally, and nothing in these Terms is intended to contract out of mandatory consumer, privacy, unfair-contract, accessibility, payment or other protections that cannot lawfully be waived or excluded in the user’s jurisdiction. Where another country’s mandatory law gives a consumer additional rights, those rights will apply to the extent required by that law.

For example, where applicable, local distance-selling, cooling-off, digital-service, unfair-terms and privacy laws may impose requirements beyond Egyptian law. If a local mandatory rule conflicts with these Terms, the mandatory rule prevails only to the extent of the conflict. Any dispute that is not subject to a mandatory alternative jurisdiction or remedy will be subject to the jurisdiction of the competent Egyptian courts.

24. ENTIRE AGREEMENT AND SEVERABILITY

These Terms, together with the applicable purchase terms, Privacy Policy, Refund Policy and Cookie Policy, form the agreement governing the service. If any provision is held invalid or unenforceable, the remaining provisions remain effective, and the invalid provision will be interpreted or replaced to the minimum extent necessary to comply with applicable law.

SUPPLEMENTARY LEGAL CLARIFICATIONS

26. ELECTRONIC ACCEPTANCE, LANGUAGE AND FORMALITIES

Click-through acceptance, account actions, online checkout, electronic acknowledgment, and electronic signatures are used only to the extent permitted by applicable law. Where Egyptian law requires a particular signature, authentication, written instrument, registration, or other formality, that requirement must be completed separately.

These Terms are published in English and Arabic. Both are intended to express the same terms. Any inconsistency shall be resolved under mandatory Egyptian law and the transaction record shown to the user at contracting.
